TERMS & CONDITIONS

Welcome to Lets Invest Maldives (“LIM”, “we”, “our”, or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of the Lets Invest Maldives website, digital platforms, investment opportunity pages, reports, presentations, teasers, data rooms, communications, and related services (collectively, the “Platform”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms.

1. ABOUT LETS INVEST MALDIVES

Lets Invest Maldives provides a platform for the presentation, promotion, introduction, facilitation, and exploration of investment and business opportunities primarily relating to the Maldives.

Opportunities may include, without limitation:

  • Tourism and hospitality
  • Hotels, resorts and guesthouses
  • Real estate and property development
  • Infrastructure
  • Aviation and transportation
  • Marinas and maritime projects
  • Fisheries and marine industries
  • Renewable energy
  • Commercial ventures
  • Joint ventures
  • Development projects
  • Financing and strategic partnerships

Unless expressly stated otherwise for a particular transaction, Lets Invest Maldives acts as an investment facilitator and business introduction platform and does not represent itself as the owner, developer, lender, financial adviser, investment manager, securities dealer, legal adviser, tax adviser, or guarantor of opportunities presented on the Platform.

2. INFORMATION PURPOSES ONLY

All information available through the Platform is provided for general informational, promotional and preliminary evaluation purposes only.

Nothing contained on the Platform constitutes or should be interpreted as:

  • Financial or investment advice;
  • Legal, accounting or tax advice;
  • A recommendation to invest;
  • An offer to sell or solicitation to purchase securities;
  • A guarantee of financing;
  • A guarantee of investment approval;
  • A guarantee of profitability or investment returns; or
  • A legally binding commitment by Lets Invest Maldives or any project owner.

Any investment or transaction shall be subject to separate negotiations, due diligence, definitive agreements, regulatory requirements and applicable laws.

3. NO GUARANTEE OF RETURNS

Any financial projections, internal rates of return (IRR), net present values (NPV), occupancy assumptions, revenue forecasts, valuations, capital appreciation estimates, payback periods, market forecasts or other financial indicators presented through the Platform are illustrative, indicative or forward-looking in nature unless expressly stated otherwise.

Actual performance may differ materially.

Lets Invest Maldives does not guarantee:

  • Investment returns;
  • Project profitability;
  • Capital appreciation;
  • Financing availability;
  • Project completion;
  • Construction costs;
  • Development timelines;
  • Occupancy or revenue levels;
  • Government approvals;
  • Exit opportunities; or
  • Recovery of invested capital.

All investments involve risk, including the potential loss of some or all invested capital.

4. INVESTOR DUE DILIGENCE

Every prospective investor, lender, purchaser, partner or other interested party is responsible for conducting its own independent due diligence before entering into any transaction.

This should include, where applicable, independent verification of:

  • Ownership and title;
  • Leases and concessions;
  • Corporate structure;
  • Financial information;
  • Valuations;
  • Project feasibility;
  • Development costs;
  • Licences and permits;
  • Government approvals;
  • Environmental requirements;
  • Taxation;
  • Financing arrangements;
  • Legal obligations;
  • Market assumptions;
  • Construction and operational risks; and
  • Other material information relevant to the proposed transaction.

Users should obtain independent professional advice from appropriately qualified legal, financial, tax, technical and investment advisers before making investment decisions.

5. THIRD-PARTY INVESTMENT OPPORTUNITIES

Certain projects or opportunities displayed on the Platform may be owned, developed, promoted or operated by independent third parties.

The appearance of a project on the Platform does not, by itself, constitute a warranty, endorsement or guarantee by Lets Invest Maldives regarding the project, project owner, developer, promoter or investment.

While we may undertake preliminary reviews before presenting opportunities, users remain responsible for independently verifying all material information.

6. ACCURACY OF INFORMATION

Lets Invest Maldives aims to provide information that is relevant and reasonably accurate at the time of publication.

However, investment and development information can change rapidly.

Project specifications, financial assumptions, availability, ownership structures, development concepts, pricing, financing requirements, government policies, regulations, timelines and other information may be amended without notice.

We do not warrant that all information on the Platform is complete, current, error-free or suitable for any particular investment decision.

7. CONFIDENTIAL AND RESTRICTED INFORMATION

Certain investment opportunities may require users to register, verify their identity, demonstrate investor credentials, accept confidentiality obligations or execute a Non-Disclosure Agreement (“NDA”) before accessing detailed information.

Restricted information may include:

  • Feasibility studies;
  • Financial models;
  • Business plans;
  • Valuation reports;
  • Architectural information;
  • Project documentation;
  • Ownership information;
  • Contracts;
  • Due diligence materials; and
  • Data-room documentation.

Users must not reproduce, distribute, publish, forward, commercially exploit or disclose confidential information without prior written authorization.

Access to confidential information may be withdrawn at any time.

8. INVESTOR REGISTRATION

Where registration is required, users agree to provide accurate, current and complete information.

We may request additional information reasonably necessary to verify an investor, company, lender, representative or other party before providing access to restricted opportunities or confidential materials.

We reserve the right to refuse, suspend or terminate access where information appears inaccurate, misleading, fraudulent or insufficient for verification purposes.

9. INTRODUCTIONS AND DIRECT DEALINGS

Where Lets Invest Maldives introduces a user to a project owner, investor, lender, developer, operator, adviser or other commercial party, such introduction does not make Lets Invest Maldives responsible for the subsequent conduct, representations, negotiations or obligations of those parties.

Any transaction arising from an introduction should be documented separately between the relevant parties.

Where LIM has a separate mandate, advisory agreement, success-fee arrangement, commission agreement or other contractual role in relation to a transaction, the terms of that separate agreement shall apply.

10. NO CIRCUMVENTION OF COMMERCIAL INTRODUCTIONS

Users must not intentionally misuse confidential information, proprietary deal information or introductions made through Lets Invest Maldives for the purpose of unlawfully circumventing legitimate contractual rights, agreed fees or confidentiality obligations.

Where specific non-circumvention, exclusivity, commission or introduction terms apply to an opportunity, these will be governed by the relevant separate agreement.

11. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Platform and its content including branding, text, graphics, layouts, reports, project presentations, photographs, videos, investment teasers, research, databases and other materials are owned by or licensed to Lets Invest Maldives.

Content may not be copied, reproduced, republished, modified, distributed, sold or commercially exploited without prior written permission, except where expressly permitted.

Third-party trademarks, photographs, documents and intellectual property remain the property of their respective owners.

12. PROHIBITED USE

Users must not use the Platform:

  • For fraudulent or unlawful activity;
  • To provide false investor or corporate information;
  • To impersonate another person or organization;
  • To gain unauthorized access to restricted information;
  • To extract or scrape confidential databases;
  • To interfere with the security or operation of the Platform;
  • To distribute malicious software;
  • To misuse confidential investment information; or
  • In violation of applicable laws or regulations.

13. THIRD-PARTY WEBSITES AND SERVICES

The Platform may contain links to government authorities, project owners, professional advisers, hotels, developers, financial institutions, media organizations or other third-party websites and services.

Lets Invest Maldives is not responsible for the content, security, availability, accuracy or privacy practices of independent third-party platforms.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Lets Invest Maldives, its shareholders, directors, officers, employees, representatives, affiliates and associated entities shall not be liable for losses arising from reliance on information contained on the Platform or from an investment or commercial decision made by a user.

This includes, where legally permissible, indirect, consequential, incidental, commercial or investment losses, loss of profits, loss of opportunity, loss of data or loss of anticipated returns.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

15. INDEMNIFICATION

To the extent permitted by applicable law, users agree to indemnify and hold harmless Lets Invest Maldives and its directors, officers, employees and representatives against claims, liabilities, losses or reasonable costs arising from the user’s unlawful use of the Platform, violation of these Terms, misuse of confidential information or infringement of third-party rights.

16. PRIVACY AND DATA

Personal and corporate information submitted through the Platform may be used to:

  • Respond to enquiries;
  • Evaluate investment interest;
  • Facilitate introductions;
  • Verify users;
  • Provide requested information;
  • Manage investor communications;
  • Maintain transaction records; and
  • Comply with applicable legal or regulatory obligations.

Our handling of personal information is also governed by our Privacy Policy.

17. AML, SANCTIONS AND COMPLIANCE

Lets Invest Maldives reserves the right to conduct appropriate identity, corporate, source-of-funds, sanctions, anti-money-laundering or other compliance checks where appropriate.

We may decline to provide information, facilitate an introduction or continue discussions where a proposed transaction presents legal, regulatory, sanctions, compliance or reputational concerns.

18. AVAILABILITY OF OPPORTUNITIES

Investment opportunities displayed on the Platform may be modified, suspended, withdrawn, sold, financed, reserved or otherwise become unavailable at any time without notice.

Publication of an opportunity does not guarantee that it remains available.

19. CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes in our services, Platform, business operations or applicable requirements.

The latest version published on the Platform will apply from its stated effective date.

Continued use of the Platform following an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.

20. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of the Republic of Maldives.

Unless otherwise agreed in writing or required by applicable law, disputes relating to these Terms or use of the Platform shall be subject to the jurisdiction of the competent courts of the Republic of Maldives.
